Terms of business
Plain English. Last updated 16 July 2026. Governed by the law of England and Wales. This is our standard website wording, not a substitute for advice on a complex deal.
1. Who we are
Angela Jarvis trading as Graphic Details. We are a sole trader business (not a limited company unless a company number is shown above). Contact for quotes and legal notices: hello@graphicdetails.co.uk. Business location: Selby, North Yorkshire, United Kingdom.
2. Who these terms are for
Our packages are aimed at businesses and people buying for business use (including sole traders). By accepting a quote and paying a deposit you confirm you are buying in a business capacity, unless you tell us in writing before paying that you are a consumer. If you are a consumer (buying wholly or mainly outside your trade or profession), different cancellation and other rights may apply under UK law. Please email us before you pay so we can confirm the right terms for you. We do not exclude rights that cannot be excluded by law.
3. Quotes and acceptance
Prices on this site are guides only. A project starts when you accept a written quote or statement of work (email is fine) and pay the deposit for that quote. Scope, timeline, revision rounds and price in that quote override the website. We do not treat a bare payment as acceptance of work that has not been quoted.
4. Payment
Unless otherwise agreed: 50% deposit to start after you accept the quote, balance before launch or final file handover. We may invoice or send a secure Stripe payment link. Each payment should reference your quote or package. Guide prices on the website are estimates (and exclude VAT unless we say otherwise). The price in your written quote applies. If we become VAT-registered, VAT will be shown on invoices. Work may pause if invoices are overdue.
5. Deposits and cancellation
The deposit secures your project slot and covers preparation and time once work has started. It is not a random penalty.
- If we cancel (other than for your breach): we refund fees paid for work we have not delivered.
- If you cancel after work has started: you pay a fair amount for work done and reasonable costs to the cancellation date (the deposit is applied to that). Any unused balance of prepaid fees is returned.
- If you cancel before we start work: we refund the deposit less any non-recoverable costs we have already agreed with you in writing (usually none if we have not started).
- Mid-project, if you pause for a long time or fail to supply agreed content, we may invoice for work done to date and reschedule or end the project on fair notice.
Nothing in this section removes rights that cannot be limited by law (including, where they apply, certain consumer rights).
6. Your content
You supply text, photos and logos unless the quote says otherwise. Where we source or create images for you, that is only as listed in the quote, and any licence terms for those images apply. You warrant you have the right to use material you provide and will indemnify us against claims arising from it. Domain and hosting stay in your name unless we agree otherwise. You remain responsible for renewing domain, hosting and any third-party tools unless a care plan says we handle them.
7. Our deliverables and IP
On full payment you receive the right to use the agreed website and design deliverables for your business as described in the quote (typically an exclusive licence for your business use, or assignment of final design assets where the quote says so). We retain ownership of our tools, frameworks, code libraries, templates and pre-existing materials. Third-party fonts, stock, plugins and music remain under their own licences. We may show non-confidential work in our portfolio unless you ask us not to in writing before launch.
8. Music and media
Where we supply original music, use is limited to the commercial terms in your quote (e.g. promo video only, or wider brand use). Do not resell or register the track as your own composition without written agreement.
9. Revisions and timelines
Packages include the revision rounds stated in the quote (one round on the one-page package; typically two on larger packages). Extra rounds or new scope are quoted separately. Timelines assume timely content and feedback from you. Guide times on the website (“often under a week / two weeks”) are not guarantees.
10. Care plans
Ongoing updates are optional, billed separately, and described in a care plan agreement (hours, rate, notice period). They are not included in the build price.
11. Liability
We do not exclude liability for death or personal injury caused by our negligence, fraud, or anything else that cannot be limited by law. Our total liability for a project is limited to the fees you paid us for that project. We do not guarantee search rankings, a fixed number of enquiries, or uninterrupted hosting by third parties.
12. Law
These terms are governed by the law of England and Wales. Courts of England and Wales have exclusive jurisdiction, without limiting any mandatory rights you may have in another place if the law says they apply.
